Terms of Service

These Terms govern your use of Labs Loyalty, provided by T‑Minus Labs ("we", "us"). By creating a Labs Loyalty account, you ("you", the "Business") agree to these Terms, including the data processing terms in Section 6.

1. The service

Labs Loyalty provides an NFC-based digital loyalty card system: your customers tap a physical stand, and a loyalty card opens in their browser with no app or account required. We host the software and data; you use it to run a loyalty programme for your customers.

2. Fees and payment

Subscriptions renew monthly and can be cancelled at any time; cancellation takes effect at the end of the current billing period. The hardware kit fee is one-off and non-refundable once the stand has been shipped or handed over, except where faulty.

3. Your responsibilities

• Provide accurate business information during signup.
• Keep your dashboard PIN confidential — you're responsible for activity under your account.
• Use the service lawfully, and not to collect customer data for any purpose beyond running your loyalty programme.
• Not attempt to reprogram, duplicate, or tamper with NFC stands issued to you.

4. Our responsibilities

• Keep the service running with reasonable care, though we don't guarantee uninterrupted uptime.
• Programme and issue your NFC hardware kit centrally, to maintain quality and consistency.
• Process your customers' data only as described in Section 6 below.

5. Intellectual property

Labs Loyalty, its branding, and underlying software remain the property of T‑Minus Labs. You retain ownership of your own business content (name, branding assets you upload, reward configuration).

6. Data processing terms

This section applies where we process personal data belonging to your customers on your behalf, and reflects the requirements of Article 28 of UK GDPR.

Roles

For your customers' personal data (phone numbers, visit and stamp history), you are the data controller and T‑Minus Labs is the data processor. We process this data only to provide the Labs Loyalty service to you.

Our obligations as processor

• We process customer data only on your documented instructions (i.e., as configured through the Labs Loyalty dashboard and onboarding flow).
• We keep this data confidential and restrict access to what's needed to operate the service.
• We apply appropriate technical and organisational security measures, including row-level security on our database and encrypted connections.
• We will notify you without undue delay if we become aware of a personal data breach affecting your customers' data.
• On termination of your account, we will delete your customers' personal data within 30 days, unless you request export beforehand.

We'll update this list and notify you if we add or change a sub-processor in a way that materially affects how your customers' data is handled.

Your obligations as controller

You're responsible for having a lawful basis to collect your customers' phone numbers via Labs Loyalty (typically your legitimate interest in running a loyalty programme they've chosen to join), and for handling any data subject requests from your customers that we can't resolve directly through the service's built-in deletion tool.

7. Liability

We provide the service "as is" and aren't liable for indirect or consequential losses. Our total liability to you in any 12-month period is capped at the fees you've paid us in that period.

8. Termination

Either party may terminate at any time. We may suspend or terminate accounts that breach these Terms or are used unlawfully.

9. Governing law

These Terms are governed by the laws of England and Wales.

10. Changes

We may update these Terms from time to time. Material changes will be communicated by email before they take effect.
