Terms of Service

These Terms govern your use of Labs Loyalty, a trading name of T‑Minus Labs (George Russell, trading as T‑Minus Labs, sole trader, of 20 Bereweeke Avenue, Winchester, Hampshire, SO22 6BH) ("we", "us"). By creating a Labs Loyalty account, you ("you", the "Business") agree to these Terms, including the data processing terms in Section 6.

1. The service

Labs Loyalty provides an NFC-based digital loyalty card system: your customers tap a physical stand, and a loyalty card opens in their browser with no app or account required. We host the software and data; you use it to run a loyalty programme for your customers.

Subscriptions renew monthly or annually depending on the billing interval chosen at signup, and can be cancelled at any time; cancellation takes effect at the end of the current billing period. The hardware kit fee (where charged) is one-off and non-refundable once the stand has been shipped or handed over, except where faulty.

All prices are exclusive of VAT. VAT at the prevailing UK rate (currently 20%) will be added where applicable.

Hardware (NFC stand)

We aim to dispatch or hand over your NFC stand within a reasonable time of your order. Risk in the stand (e.g. loss or damage) passes to you on delivery or hand-over; title passes once payment for the kit is received in full. We warrant the stand against manufacturing defects for 12 months from delivery — if it stops working through no fault of your own, contact us for a replacement.

5. Intellectual property

Labs Loyalty, its branding, and underlying software remain the property of T‑Minus Labs. You retain ownership of your own business content (name, branding assets you upload, reward configuration).

This section applies where we process personal data belonging to your customers on your behalf, and reflects the requirements of Article 28 of UK GDPR.

Roles

For your customers' personal data (phone numbers, visit and stamp history), you are the data controller and T‑Minus Labs is the data processor. We process this data only to provide the Labs Loyalty service to you.

Nature and purpose of processing

We process your customers' personal data for the purpose of operating your digital loyalty programme — specifically, recording taps, tracking stamp progress, and identifying reward eligibility. Processing takes the form of collection, storage, retrieval, and deletion via the Labs Loyalty platform, for the duration of your Labs Loyalty subscription (see "Duration" below).

Types of personal data and categories of data subjects

The personal data processed is limited to: phone numbers, and visit/stamp/redemption timestamps. The data subjects are your customers who choose to tap an NFC stand to join your loyalty programme.

Duration

We process this data for as long as your Labs Loyalty account remains active, and until deletion in line with Section "Our obligations as processor" below following termination.

By agreeing to these Terms, you give us general written authorisation to use the sub-processors listed below to provide the service:

If we intend to add or replace a sub-processor, we'll give you at least 14 days' advance notice by email. If you reasonably object on data protection grounds, we'll work with you to address the concern; if we can't resolve it, you may terminate your subscription without penalty.

Audit rights

On reasonable written notice, no more than once per year, you may request evidence of our compliance with this Section 6, or ask reasonable questions about our security practices. Where a more detailed audit is genuinely necessary, we'll cooperate reasonably; you'll cover our reasonable costs of supporting it, unless the audit identifies a material breach on our part, in which case we'll cover our own costs.

Your obligations as controller

You're responsible for having a lawful basis to collect your customers' phone numbers via Labs Loyalty (typically your legitimate interest in running a loyalty programme they've chosen to join), and for handling any data subject requests from your customers that we can't resolve directly through the service's built-in deletion tool.

7. Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.

Subject to the above, we provide the service "as is" and aren't liable for indirect or consequential losses. Our total liability to you in any 12-month period is capped at the fees you've paid us in that period.

8. Termination

Either party may terminate at any time. We may suspend or terminate accounts that breach these Terms or are used unlawfully.

9. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.

10. Notices

Any notice under these Terms may be given by email, and is deemed received 24 hours after sending, provided no delivery failure notification is received.

11. Changes

We may update these Terms from time to time. We'll give you at least 30 days' notice by email before material changes take effect; continuing to use the service after that point means you accept the updated Terms.

This is a template appropriate for a small, early-stage SaaS business, but it hasn't been reviewed by a solicitor. Before relying on it commercially — particularly once payments go live — it's worth having a qualified professional check it reflects your actual setup correctly.
